Community & Sports Management Platform

1. Agreement to Terms

By accessing or using the Splink mobile application, website, or related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and Splink Social Sdn Bhd (Co. No. 20240105528) under Malaysian law.

2. Definitions

  • "Platform": The Splink application, website, and related services.
  • "User": Any individual or entity using the Platform.
  • "Member": A registered user who joins a Club.
  • "Club": A sports club, community group, or organization registered on Splink.
  • "Club Admin": The authorized representative (e.g., club president, committee member) who manages a Club account.
  • "Content": Any data, text, images, videos, or materials uploaded to the Platform.
  • "Services": All features, tools, and functionalities provided by Splink.

3. Eligibility and Registration

3.1 Minimum Age

You must be at least 18 years old to create an account. Users aged 13-17 may register only with verified parental/guardian consent through our minor consent form or under a supervised account managed by a Club Admin, coach, or parent. Splink will retain a record of parental consent as required under the Personal Data Protection Act 2010 (PDPA).

3.2 Account Security

You are responsible for:

  • Maintaining accurate and current account information.
  • All activities under your account.
  • Immediately notifying Splink of any unauthorized access.

4. User Responsibilities and Conduct

4.1 Acceptable Use

You agree to use the Platform in compliance with:

  • All applicable Malaysian laws and regulations.
  • These Terms.
  • Any club-specific rules or codes of conduct.

4.2 Prohibited Activities

You must not:

  • Post unlawful, defamatory, harassing, or harmful content.
  • Organize or promote illegal activities through the Platform.
  • Impersonate any person or entity.
  • Reverse-engineer, hack, or disrupt the Platform's functionality.
  • Upload viruses, malware, or malicious code.
  • Infringe intellectual property rights of others.

4.3 Content Moderation

Splink reserves the right to:

  • Remove any content violating these Terms.
  • Suspend or terminate accounts of repeat offenders.
  • Report illegal activities to relevant Malaysian authorities.
  • Notice-and-Takedown: Users may report objectionable content via in-app reporting. Splink will review and remove verified violations within 48 hours. An informal appeal may be requested by emailing admin@splinksocial.my.

5. Sports Participation and Assumption of Risk

Please read carefully: Physical activity involves inherent risks.

  • Inherent Risk: You acknowledge that participating in sports (including but not limited to football, basketball, volleyball, badminton, and other recreational activities) involves inherent risks of serious physical injury, permanent disability, or death.
  • No Inspection: Splink is a management and discovery platform, not a sports facility owner or league operator. We do not inspect, verify, or guarantee the safety of any physical venue, court, field, or equipment provided by Club Admins, Academy Partners, or third parties.
  • Assumption of Risk: You voluntarily assume all risks associated with any activity, training session, match, or event organized through the Platform. You are solely responsible for determining your physical fitness for play and for inspecting the safety of any venue before participation.

6. Platform Neutrality and Relationships

  • Independent Organizers: Club Admins, coaches, and event hosts are independent users. They are not employees, agents, or partners of Splink Social Sdn Bhd unless explicitly stated in a separate written agreement.
  • University Relationships: Where a University Partner is listed on the Platform, Splink does not act as the university's agent. The university retains full responsibility for its clubs, facilities, and student conduct.
  • Background Checks: Splink conducts background checks on Club Admins as part of our verification process. However, we do not background check general Members or event participants. You are responsible for taking adequate safety precautions when meeting someone in person through our Platform.

7. Club Administration and Event Management

7.1 Club Responsibilities

Clubs are solely responsible for:

  • Verifying accuracy of event details (date, time, venue, fees).
  • Obtaining necessary permits, licenses, or approvals for events.
  • Ensuring events comply with the Sports Development Act 1997.
  • Local council regulations.
  • Public assembly requirements (if applicable).
  • Safety and health guidelines.

8. Payments and Financial Terms

8.1 Payment Processing

Splink operates on a subscription model. All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise.

8.2 Refunds and Cancellations

  • Refund policies are set by individual Clubs.
  • Users must contact the Club directly for refund requests.
  • Splink may facilitate dispute resolution but is not liable for refunds.

8.3 Consumer Rights

These Terms do not affect your statutory rights under the Consumer Protection Act 1999, including:

  • Right to accurate product/service descriptions.
  • Right to seek redress for misrepresented services.
  • Cooling-off periods where applicable by law.

9. Intellectual Property

9.1 Platform IP

Splink retains all rights to:

  • Platform design, code, logos, and trademarks.
  • Aggregated and anonymized usage data.

9.2 User Content

You retain ownership of your Content but grant Splink a non-exclusive, royalty-free, worldwide license to:

  • Display, distribute, and modify Content for Platform functionality.
  • Use in marketing materials.

10. Data Protection and Privacy

10.1 PDPA Compliance

Splink complies with the Personal Data Protection Act 2010 (PDPA). Our separate Privacy Policy details our compliance with the 7 PDPA Principles:

  • General Principle: Lawful, fair processing.
  • Notice and Choice Principle: Clear purpose notification.
  • Disclosure Principle: Limited third-party sharing.
  • Security Principle: Appropriate safeguards.
  • Retention Principle: Data not kept longer than necessary.
  • Data Integrity Principle: Accurate and up-to-date data.
  • Access Principle: Right to access and correct data.

10.2 Your PDPA Rights

You have the right to:

  • Access your personal data.
  • Correct inaccurate information.
  • Withdraw consent for processing.
  • Request data deletion.

10.3 International Data Transfers

If data is transferred outside Malaysia, Splink ensures:

  • Recipient countries have adequate data protection laws.
  • Appropriate safeguards are implemented.

11. Limitation of Liability

11.1 General Limitation

To the fullest extent permitted by Malaysian law:

  • Splink provides the Platform on an "as is" and "as available" basis.
  • Maximum aggregate liability is limited to RM100 or the amount paid by you in the past 6 months, whichever is lower.

Splink is not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of data, profits, or business opportunities.
  • Events beyond reasonable control (pandemic, disaster, government control).

11.2 Non-excludable Liabilities

This limitation does not apply to:

  • Personal injury or death caused by Splink's negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot be limited under the Contracts Act 1950.

12. Indemnification

You agree to indemnify and hold harmless Splink, its directors, employees, and affiliates from any claims, damages, or losses arising from:

  • Your breach of these Terms.
  • Your use of the Platform.
  • Content you upload or share.
  • Your participation in events organized through Splink.

13. Termination

13.1 By Splink

Splink may suspend or terminate your account if you:

  • Materially breach these Terms.
  • Engage in illegal or harmful activities.
  • Attempt to compromise Platform security.
  • Harass, stalk, or defame other users.
  • Submit content that is offensive, promotes racism, bigotry, or hatred.
  • Use automated processes (robots, scrapers) to monitor or copy Platform content.
  • Reverse engineer or decompile the Platform.
  • Engage in unauthorized commercial solicitations.
  • Use the Platform for any unlawful purpose under Malaysian law.

13.2 By User

You may terminate your account at any time via Platform settings.

13.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately.
  • Outstanding fees remain payable.
  • Splink may retain certain data as required by law.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia.

14.2 Dispute Resolution

Any dispute shall be resolved as follows:

  • Negotiation: Parties shall attempt amicable resolution within 30 days.
  • Mediation: If unresolved, parties shall mediate through the Malaysian Mediation Centre.
  • Litigation: If mediation fails, exclusive jurisdiction lies with the courts of Kuala Lumpur.

14.3 Electronic Agreements

Under the Electronic Commerce Act 2006, you agree that:

  • Electronic records of your acceptance are binding.
  • Digital signatures have the same legal effect as handwritten signatures.

15. General Provisions

15.1 Amendments

Splink may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via:

  • In-app notifications.
  • Email to registered users.
  • Updated "Effective Date".

15.2 Severability

If any provision is found invalid or unenforceable, remaining provisions remain in full force.

15.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Splink.
